6.0 Use of Captured media
During CPR with LAUREN trainings, the Company or its agents may obtain captured media ( Images, still, motion, and audio) of the Learner(s), Client Contact, Hosted Location , equipment and supply for subsequent use in STYLES QUALITY SERVICES LLC materials, including promotional and marketing materials.
6.1 The Client's information and biographical information may or may not be included along with such images.
6.2 The Client and Learner hereby grants STYLES QUALITY SERVICES LLC permission to use its images and biographical materials, both during and after the Client training, and the Client and the learner understands that the Client nor Learner will not receive any royalties or other compensation for such use.
8.0 Confidentiality and Intellectual Property.
8.1 Except as required by applicable law or otherwise provided herein, CPR with LAUREN and you will each maintain the confidentiality of all provisions of this Agreement or other confidential information, documents and materials received for the purposes of this Agreement.
11.0 Physical fitness abilities and limitations
The purpose of this DISCLAIMER AND NOTICE is to make you conscious of the potential risks connected with activity in any class offered by CPR with LAUREN and to help you make an informed decision about whether you should participate in these activities.
You should understand that participating in any class carries the possibility of physical injury. You should be in good physical condition and able to participate in the resuscitation skills. If you engage in this activity, you agree that you do so at your own risk, are voluntarily participating in these activities, and assume all risk of injury to yourself.
Learners who have a mobility limitation can still take the classes.However, a full certification will not be granted. A learners can receive a "knowledge certificate", stating they have successfully verbalized proper resuscitation techniques.
Injuries of all types can occur when participating in class, hence CPR with LAUREN strongly encourages all members to obtain a comprehensive physical examination by a licensed physician PRIOR to undertaking any class offered by CPR with LAUREN. Such injuries include but are not limited to:
Bruising, cuts, and general soreness
Muscular and tendon injuries
Ligament and skeletal injuries
Fractured or broken bones
Concussion
Heart attack
Lightheadedness or dizziness
1.0 CPR with LAUREN Responsibilities.
CPR with LAUREN will:
1.1 Provide instruction in the Courses and provide learners of Classes (as defined below) with materials and access to the equipment necessary for such instruction at the fees listed in the Quote (the “Fees”).
1.2 For each in-person Course scheduling instance (“Class”), confirm the date, time, and location of the Class in a Confirmation, as defined in Section 2.4 below.
1.3 Provide written confirmation of Class dates, times, locations, and any related changes to you.
1.4 Issue digital certificates( i.e. eCard), as applicable, for each Course participant who successfully completes all Course requirements and provides a valid, unique email address. A lost eCard code can be retrieved by emailing stylesqualitysvcs@gmail.com for a request. Learners email addresses will be keep on file.
1.5 Emailed class records (eCards) and rosters (attendance) to the Client Contact after the completion of class and/or within 72 hours of receipt of payment, if invoice is satisfied after class date.
1.6 Within 60 days of their 2 year expiration, CPR with LAUREN will send an reminder email to the email address recorded unless the learner notifies CPR with LAUREN to decline reminder email.
1.7 Hold all licenses necessary to perform the work, that such licenses are valid and effective as of the date any work is performed or services provided, and that all work performed or services provided will be done in compliance with all applicable federal, state, or local laws and regulations.
2.0 Your Responsibilities.
You will:
2.1 Cooperate with the CPR with LAUREN in scheduling training on dates and at times and locations that are mutually acceptable to you and CPR with LAUREN.
2.2 Only schedule Classes to be conducted, and otherwise perform under this Agreement, within the United States of America and its territories (“U.S.”), as the CPR with LAUREN is only permitted to solicit, deliver services and provide program support within the U.S. Customer will only permit its personnel within the United States to take online-only Courses (“e-learning Courses”).
2.3 Contact the CPR with LAUREN point of contact no fewer than ten (10) business days prior to any desired Class date to request training on that date. Requests will include the name and telephone number of a point of contact for each Class location.
2.4 Identify the number of people to be trained at the relevant location(s) on each requested date. For each Class, you will receive an email confirmation from CPR with LAUREN (each a “Confirmation”) confirming the Class details.
2.5 Update the number of participants, as needed, at least three (3) business days before the Class date; provided, however, that if additional Instructors or Instructor Trainers are required due to increased class size, CPR with Lauren will schedule one or more additional Classes if needed to preserve the capacity ceiling, based on the number of learners who may attend the Class.
2.6 Comply with, and communicate to Class participants, any requirements for Course participation which may be communicated by CPR with LAUREN to you from time to time, including (by way of example rather than limitation) health and safety precautions and active participation and certification requirements.
2.7 Provide classroom facilities for each Class having clean, safe, and otherwise adequate space for participant seating and to practice Course skills, and adequate audiovisual training equipment. If you do not have standard audiovisual training equipment, you will notify CPR with LAUREN point of contact when the Class is scheduled.
2.8 Ensure that learner is on time to Class and engaged and present for the entire Class, it is understood that students who do not adequately participate, are not present for the entire Class, or otherwise fail to meet Course objectives, will not be certified. Learners who are more than 15 minutes late without advance will not be permitted in class. Learners will be given one opportunity to reschedule for the next class, when possible, otherwise attendance is forfeited and fees are nonrefundable.
3.0 Fees and Invoicing.
3.1 The client can elect to cover the class cost via invoice or at the expense of each learner.
3.2 If the client chooses to not be involved with class fee . The learner will be responsible for the class fee . CPR with LAUREN can provide a link and/or QR code for learners to access payment platform. The Client can use link and/or QR code on Marketing prints. However , CPR with LAUREN will retain all responsibility and interactions with payments. One week prior to Class . CPR will provide a "confirmed" roster. Learners are "confirmed" when payments are satisfied , allowing them admittance to class.
3.3 You will pay a per-person fee for each learner attending each Class and will pay for at least the minimum number of learner (For example, in the case of a Corporate Class, which has a minimum of six (6) learners and a maximum of nine (9) learners per instructor, if only four (4) learners attend training, you will pay for six (6) learners).
3.4 You will be invoiced. Invoices will be sent via email. You will provide CPR with LAUREN a single valid email address for electronic invoice delivery. Payment in full is due upon receipt of the invoice. Past due amounts will be subject to collections actions and may be referred to an external collection agency. In such an event, CPR with LAUREN will be entitled to all costs of collection including interest, reasonable attorney's fees and litigation expenses, and collection agency fees and expenses. High credit risk or late payments may also result in the suspension or termination of your invoicing privileges at CPR with LAUREN’s sole discretion. If your invoicing privileges are suspended or terminated, CPR with LAUREN will not deliver Classes until all your accounts are current with no outstanding invoices.
3.5 To pay an invoice by credit card, or to establish ACH payments, call 336-734-8772. To pay an invoice by check ( only with written notification of intent), include the remittance advice showing your account name, number, and invoice number and send to:

3.6 If you desire that CPR with LAUREN use your vendor payment portal, CPR with LAUREN will not be obligated to pay you or any third party any fee or expense for such use, regardless of any provision to the contrary in such portal ‘s terms of use. You will, on demand, promptly reimburse CPR with LAUREN for any such fee or expense.
3.7 If you have an account balance or invoice questions or concerns, immediately upon receipt of the invoice, you may email stylesqualitysvcs@gmail.com or call 336-734-8772 to report and resolve the inquiry.
3.8 You warrant that as of the date of this Agreement, you have no overdue balances with CPR with LAUREN.
4.0 Class Cancellation and Rescheduling
A Class may be rescheduled or canceled without charge if CPR with LAUREN is notified at least three (3) business days in advance of the scheduled Class time. CPR with LAUREN is authorized to charge a $120.00 cancellation fee for each occurrence of your rescheduling or canceling a Class with fewer than three (3) business days’ notice.
5.0 Term and Termination.
5.1 This Agreement will remain in effect until the date on which Classes sufficient to accommodate the number of students listed in the Quote are completed.
5.2 CPR with LAUREN may immediately terminate this Agreement if you breach this Agreement.
5.3 Either you or CPR with LAUREN may terminate this Agreement with advance written notice to the other party of at least thirty (30) days.
5.4 Upon termination or expiration of this Agreement, CPR with LAUREN will immediately cease delivery of the Classes and you will be responsible for payment for all fees and reimbursable expenses incurred up until such termination or expiration date.
5.5 Notwithstanding the expiration or any termination of this Agreement, the provisions of this Agreement will continue to govern with respect to any amounts payable to CPR with LAUREN for Courses completed prior to such expiration or termination. Our mutual obligations under Section 8.1, below, will also survive any expiration or termination of this Agreement.
6.0 Use of Captured media

7.0 Force Majeure.
Notwithstanding anything in this Agreement to the contrary, neither you nor CPR with LAUREN will be liable to the other for any loss or damage arising as a result of the breach, non-performance or partial performance of its obligations under this Agreement (except for the obligation to pay money when due) due to any cause beyond its reasonable control and without its fault or negligence, including but not limited to any delay or failure caused by failure, unavailability or shortage of power, materials or supplies, flood, fire, storm, other abnormally inclement weather, act of war, terrorism, riot, act or omission of government or governmental agency, strike, work stoppage, other labor unrest, inadequate voluntary donations required for the rendering of the services, other act or omission in the process of manufacture, production or supply under the control of third parties, or any other emergency.
